Terms of Use

These Terms of Use (“Terms”) form an agreement between you and Forigi governing your access to and use of the Forigi platform at forigi.com and any of its subdomains (the “Service”).

By using the Service, you agree to these Terms. If you don’t agree, don’t use the Service.

Who runs Forigi. Forigi is a service provided by Knotbook Software Inc., a Canadian federal corporation registered in Ontario, Canada. References to “Forigi,” “we,” or “us” in these Terms mean Knotbook Software Inc. acting as the operator of the Service. You can reach us at hello@forigi.com.

1. The Service

Forigi is a platform that lets your team deploy internal HTML and JavaScript dashboards backed by data from your Microsoft 365 tenant (SharePoint, OneDrive). The Service:

  • Authenticates users with their Microsoft 365 accounts.
  • Hosts dashboards behind Microsoft single sign-on, accessible only to people you grant access to.
  • Reads data from your existing files using each viewer’s own Microsoft permissions — no service account, no parallel data store.
  • Provides optional database storage for stateful apps, with per-tenant isolation and per-viewer row-level access.

2. Private beta

The Service is currently in private beta. This means:

  • Features may change, break, or be removed without notice.
  • The Service is provided as-is, with no uptime guarantee, no service-level commitment, and no warranty.
  • Forigi may suspend or revoke your access at any time and for any reason during the beta.
  • The Service is currently free to use. We may charge for the Service in the future. We will give you at least 30 days’ notice before any pricing change takes effect for your tenant.
  • We may invite or remove tenants from the beta at our discretion.

3. Eligibility

To use the Service, you must:

  • Be at least 18 years old.
  • Have authority to bind your organization to these Terms (if you’re using the Service on behalf of a company).
  • Have a valid Microsoft 365 account in a tenant approved by Forigi during the beta.
  • Not be on any sanctioned-persons list and not be located in a country subject to a US embargo.

4. Your account

  • You’re responsible for everything that happens under your account.
  • You must keep your Microsoft 365 credentials secure.
  • Notify us at hello@forigi.com immediately if you suspect unauthorized use of your account or your tenant.

5. Acceptable use

You agree not to:

  • Upload bundles containing malware, phishing pages, cryptocurrency miners, or other malicious code.
  • Attempt to bypass tenant isolation, access another tenant’s data, or impersonate other users.
  • Use the Service to violate any law or regulation, including data protection law.
  • Reverse-engineer, decompile, or otherwise tamper with the Service except where expressly permitted by law.
  • Probe, scan, or test the Service’s vulnerability without prior written permission from Forigi. Responsible disclosure is welcome — email hello@forigi.com. We respond within one business day and work with you on a coordinated disclosure timeline.
  • Use the Service to host content that infringes someone else’s intellectual property, defames another person, or otherwise creates legal risk for us.
  • Conduct benchmarking or competitive analysis of the Service for the purpose of developing a competing product.
  • Use automated means to access the Service except via the documented platform APIs.
  • Resell, sublicense, or redistribute access to the Service to third parties.

We reserve the right to suspend or terminate accounts violating these rules, with or without notice, at our sole discretion.

6. Your content; intellectual property

Your content stays yours

The bundles you upload, the data you put in app databases, and the data your apps read from your Microsoft 365 tenant are all your content. You retain all rights to your content.

You grant Forigi a worldwide, royalty-free, non-exclusive license to host, store, display, and process your content solely for the purpose of providing the Service to you. This license ends when you delete the relevant content (with a 30-day grace period for backups and exports).

Forigi’s intellectual property stays ours

The Service itself — including its source code, documentation, design, and brand — belongs to Forigi (or its licensors). Nothing in these Terms grants you any rights to that intellectual property except the right to use the Service consistent with these Terms.

Feedback

If you give us feedback, suggestions, or ideas, we may use them without restriction or compensation.

7. Customer data and privacy

We process your data per our Privacy Policy.

You’re responsible for:

  • Telling your team that data flows through Forigi.
  • Getting any consent your local law requires before deploying or using the Service.
  • Not putting data in Forigi that you don’t have the right to put there.

You may not use the Service to process:

  • Protected health information (PHI) regulated by HIPAA, unless we have signed a separate Business Associate Agreement (BAA). We do not currently sign BAAs.
  • Cardholder data regulated by PCI DSS.
  • Government classified data.
  • Children’s data regulated by COPPA.

If you process this kind of data via Forigi without a separate written agreement, you indemnify us for any consequences (see section 12).

8. Service availability

The Service is provided “as is” and “as available.” During the private beta:

  • We make no uptime commitment.
  • We may take the Service offline for maintenance, upgrades, incident response, or any other reason, with or without notice.
  • We are not liable for service interruptions or data loss during the beta period.

We do back up customer data, but we do not guarantee successful recovery from every failure mode. You should keep your own backups of critical data. If your business depends on data continuity, you should not rely on Forigi alone during the beta.

9. Termination

You can terminate

You can terminate your tenant at any time via the platform’s purge endpoint or by emailing hello@forigi.com. After termination, you have 30 days to export your data; after that window, all data is hard-deleted.

We can terminate or suspend

We may terminate or suspend your access:

  • With 30 days’ notice for any reason during the beta.
  • Immediately for breach of these Terms, abusive behavior, legal or regulatory requirement, or risk to other tenants.
  • Immediately if your tenant has been inactive for 12 months or more.

Survival

On termination, your right to use the Service ends. Sections 6 (intellectual property), 10 (disclaimers), 11 (limitation of liability), 12 (indemnification), and 14 (governing law and disputes) survive termination.

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. Forigi specifically disclaims:

  • Any warranty of merchantability, fitness for a particular purpose, or non-infringement.
  • Any warranty that the Service will be uninterrupted, error-free, or secure.
  • Any warranty that data on the Service will not be lost, corrupted, or accessed by unauthorized persons.

Forigi is a tool. We are not your law firm, your security consultant, your accountant, or your IT department. You are responsible for how you use the Service and for the decisions you make based on data your dashboards display.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Forigi will not be liable for:

  • Any indirect, incidental, consequential, special, exemplary, or punitive damages.
  • Loss of profits, revenue, business, data, or goodwill.
  • Costs of substitute services.

In all cases, Forigi’s total cumulative liability arising out of these Terms or the Service is limited to the greater of:

  • (a) one hundred U.S. dollars ($100), and
  • (b) the amount you have paid Forigi in the twelve (12) months preceding the event giving rise to the claim.

This limit applies even if a remedy fails of its essential purpose, and even if Forigi has been advised of the possibility of such damages. Some jurisdictions don’t allow these limitations; if you’re in one, this section applies to you only to the maximum extent permitted by law in your jurisdiction.

12. Indemnification

You will defend and indemnify Forigi (and its officers, employees, contractors, and successors) against any third-party claim arising from:

  • Your use of the Service in violation of these Terms.
  • Your content, including bundles you upload and data you process.
  • Your violation of any law or third-party right.

Forigi will give you prompt notice of any such claim and reasonable cooperation in the defense.

13. Modifications

We may change these Terms. The “Effective date” at the top reflects the most recent version. Material changes affecting your obligations will be notified to tenant administrators via email at least 30 days before taking effect. Your continued use of the Service after that period constitutes acceptance.

14. Governing law and disputes

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, excluding their conflict-of-law rules.

Any dispute arising out of or relating to these Terms or the Service will be resolved in the courts located in Ontario, Canada. You consent to the exclusive jurisdiction of those courts.

Before filing suit, the parties agree to try in good faith to resolve any dispute informally for at least 60 days by emailing a written description of the dispute to hello@forigi.com. Nothing in this section limits either party’s right to seek urgent injunctive relief from a court.

15. Miscellaneous

  • Entire agreement. These Terms (together with the Privacy Policy) are the entire agreement between us regarding the Service.
  • Severability. If any provision is found unenforceable, the rest of these Terms stays in effect.
  • No waiver. A failure to enforce any right is not a waiver of that right.
  • Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, financing, or sale of substantially all of our assets.
  • Notices.Notices to you go to the email address registered on your account or your tenant’s primary administrator. Notices to us go to hello@forigi.com.
  • No agency. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and Forigi.
